PT Leyand International Tbk (LAPD) is set to acquire the mining contractor company, PT Bersaudara Sinergi Sejahtera (BSS). The transaction value is estimated to reach IDR 59.43 billion.LAPD entered into an initial agreement by signing a Conditional Share Purchase Agreement (CSPA/PPJB) with BSS shareholders, namely PT JSI Sinergi Mas as the majority owner, PT Sapta Sinergy Saguna, and PT Mineral Sumber Rejeki.Based on the ownership structure, JSI Sinergi Mas holds 87.5 percent of BSS shares, while the remaining shares are held by Sapta Synergy Saguna at 7.5 percent and Mineral Sumber Rejeki at 5 percent. Once all requirements in the CSPA are met, LAPD will hold a 99 percent ownership stake in BSS.Meanwhile, the ownership of JSI Sinergi Mas will be diluted to 0.875 percent, Sapta Sinergy Saguna to 0.075 percent, and Mineral Sumber Rejeki to 0.050 percent.All parties have agreed on a transaction value of IDR 59.43 billion. Specifically, the purchase of shares from JSI Sinergi Mas is valued at IDR 51.975 billion, Sapta Sinergy Saguna at IDR 4.455 billion, and Mineral Sumber Rejeki at IDR 3 billion. Payments will be made in stages according to the agreement."The preliminary conditions that must be met before the closing of the transaction include the approval of the Target Company's shareholders and the obtaining of all relevant licenses, authorizations, and third-party approvals. The period for fulfilling these conditions is limited to a maximum of three months from the date of the agreement signing," LAPD management stated on Monday (2/2/2026).This agreement was signed by the President Director of LAPD Jamal Abdul Nasir Bamadhaj, the Director of JSI Sinergi Mas Agus Subiyanto, the President Director of Sapta Sinergy Saguna Muhammad Haikel Anies, and the Director of Mineral Sumber Rejeki Sayed Noval.For information, BSS is a full-service mining contractor company with operational areas in East Kalimantan and South Kalimantan. BSS is controlled by PT JSI Sinergi Mas, which is also the new controlling shareholder of LAPD.This acquisition plan is in line with JSI Sinergi Mas's strategy to expand LAPD's business lines into the energy and mining sectors after officially acquiring a 51 percent stake in the company.
